These Terms of Service (the “Terms”) are entered into by and between you and Noble Medical Group Inc. d/b/a Noble Connect AI (”Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the Noble Connect AI platform, website, software, and related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.

Noble Connect AI provides the Services “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to:

• Uninterrupted or error-free operation.

• Non-infringement of third-party rights.

Your use of the Services is at your sole risk.

12. Limitation of liability

To the maximum extent permitted by law, Noble Medical Group Inc. d/b/a Noble Connect AI shall not be liable for any:

• Indirect, incidental, or consequential damages.

• Loss of profits, data, or business opportunities.

• Unauthorized access, data breaches, or cyberattacks.

Our total liability under these Terms shall not exceed the amount paid by you for the Services in the preceding three (3) months.

13. Indemnification

You agree to indemnify, defend, and hold harmless Noble Medical Group Inc. d/b/a Noble Connect AI, its officers, employees, and affiliates from any claims, liabilities, damages, and expenses arising from:

• Your violation of these Terms.

• Your misuse of the Services.

• Any third-party claims related to your use of the Services.

14. Governing law & dispute resolution

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Dallas, Texas.

15. Force majeure

We shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, cyberattacks, labor disputes, or governmental actions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire agreement

These Terms constitute the entire agreement between you and Noble Medical Group Inc. d/b/a Noble Connect AI and supersede any prior agreements or understandings.
